These Terms of Service ("Terms") are a contract between you and Watermark Labs, Inc. ("we", "us"), which makes Morse (the "Service"): a private AI chat app with Chat, Studio (images and video), and Characters (interactive fiction). By creating an account, clicking to agree, or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
Please read section 18 (disputes). It requires individual arbitration and waives class actions, except where the law doesn't allow it, and you can opt out within 30 days.
1. Who can use the Service
You must be at least 18 years old, and old enough to form a binding contract where you live. When you sign up you confirm you are 18 or older. The Service is not for minors. We close accounts we learn belong to anyone under 18.
You may not use the Service if we've previously banned you, or if the law where you live prohibits it.
2. Your account
- One account is for one person. Give us accurate information, keep your sign-in secure, and tell us at hello@trymorse.ai if you think someone else is using your account. You're responsible for what happens under your account.
- We may ask you to complete a human check (such as Cloudflare Turnstile) to use the free plan.
- Creating accounts to get around limits, quotas, bans, or referral rules is not allowed (see section 7).
3. The Service
The Service gives you access to AI models run by us and by third-party providers. Models, features, limits, and prices can change, and some features are labeled early or experimental. We may add, change, or remove features, and we may limit or suspend the Service for maintenance, security, or abuse. Model providers can restrict or withdraw their models at any time, so a model may stop being available without notice, and we aren't liable for the loss of access to any particular model.
Your chats live on your device. Your chat history, personas, and the characters you make are stored in your browser, encrypted. We don't keep a copy, except of a character you share to Community (see section 5). That means we generally can't recover them if you clear your browser, lose your device, or delete your account. Keep your own copy of anything you need. The app can save an encrypted backup file, which only its recovery key opens. Keeping the file and the key safe is up to you, and we can't open a backup whose key is lost.
4. AI output
- We don't write the output. It's generated automatically by the AI model that answers you, in response to what you send and the instructions the model is given, including our characters' prompts. We don't review or endorse it, and to the extent the law allows, we aren't responsible for it.
- AI output is generated automatically. It can be wrong, incomplete, out of date, offensive, or unlike anything you asked for. Don't rely on it as medical, legal, financial, mental-health, or other professional advice, or for any decision where a mistake could cause harm. Check anything important yourself.
- Characters are fictional. They are AI role-play, not real people, and they don't have feelings, memories outside your chats, or relationships with you. Their stories can include dark or mature themes, and the direction a chat takes is yours to choose: you can leave, change course, or start over at any time. You use Characters at your own risk. Characters are not therapy, counseling, or a substitute for real relationships or professional care.
- If you're in crisis, the Service isn't the place to get help. Contact local emergency services, or a crisis line such as 988 (call or text) in the US. Our Safety page lists more, and explains what the app does when a message suggests someone may be at risk.
- Similar prompts may produce similar output for other users. Output may not be protectable by copyright, and we don't promise it's free of third-party rights.
- You're responsible for how you use output, including what you publish or share.
5. Your content
"Your Content" is what you put into the Service: messages, files, personas, character descriptions, and prompts. It also includes the output generated for you.
- You own Your Content, as between you and us.
- You give us a limited license to process, transmit, and store Your Content only as needed to run the Service for you. This includes sending it to the model provider that answers you, as described in the Privacy Policy. We don't use Your Content to train AI models, and we don't sell it. The model providers that answer you keep and use what they receive under their own policies, which our Privacy Policy describes for each privacy mode.
- We don't monitor your chats. We don't store, review, or monitor Your Content, apart from the characters you share to Community (below), and we have no obligation to. Because of how the Service is built, we usually can't see a conversation or step into one while it's happening. We may act on what's reported to us, and we may use automated safety measures that run without us seeing your content, as described on our Safety page.
- You promise you have the rights to what you put in, and that it doesn't break the law or these Terms. If you make a character, you're responsible for it and for the chats it's used in.
- Sharing to Community. When you share a character to Community, you let us keep a copy of it, review it, show it to everyone on the Service, and let them start chats with copies of it on their devices, until you stop sharing it. Chats people already started keep their copies. Share only a character you made or have permission to share, and keep its maker credited. Credit doesn't stand in for permission, and that includes a character you brought from another site: share one only if you made it there or its maker agreed. Our team reviews each character before Community shows it, and we may turn one down, or remove a shared character at any time, including when its maker asks.
6. Mature content
- Character chats can be switched to NSFW (explicit fiction). NSFW is off by default, it's an opt-in setting, and it's only for adults who choose it.
- A persona under 18 can only take part in SFW chats. NSFW requires that you play yourself or a persona whose stated age is 18 or older.
- Zero tolerance: sexual content involving minors, or anyone presented or described as a minor, is never allowed in any mode, in any form, including fiction, role-play, "age play," or images. When we become aware of it, we may close the account, and we will report it as required by the law, including to the National Center for Missing & Exploited Children.
- Explicit content about real, identifiable people without their consent is not allowed.
7. Acceptable use
You agree not to use the Service to:
- break any law, or help someone else break one;
- create, request, or share sexual content involving minors (see section 6), or content that exploits or endangers children;
- harass, threaten, stalk, defame, or dox anyone, or create non-consensual intimate content of a real person;
- impersonate a real person or organization in order to deceive;
- create malware, or plan or carry out attacks on systems or people, or develop weapons capable of mass casualties;
- infringe anyone's intellectual property or privacy rights;
- scrape, crawl, or bulk-extract the Service, including our characters' prompts, text, or art; reverse engineer it, except where the law allows; or use it to build a competing product;
- get around limits, quotas, payments, safety systems, locks, or access controls. This includes using multiple or fake accounts, automated sign-ups, or tricks to obtain free use, introductions, or referral rewards;
- access the Service by automated means except through an API we offer for that purpose, under its terms;
- disrupt or overload the Service, or probe it for vulnerabilities without our written permission (report security issues to hello@trymorse.ai).
Your requests go out under our accounts. To answer you, we send your requests to AI model providers using our own accounts and API keys. The usage policies of those providers, which sections 3 and 4 of our Privacy Policy list, apply to everything you send and generate, and breaking one breaks these Terms.
8. Privacy modes
The Service offers privacy modes (Anonymous, Private, and E2EE) that change which provider answers you and what that provider can see. The Privacy Policy explains them. We use best efforts to protect your privacy in every mode, and we choose providers that commit to protecting it too. But no technology is perfect, and we can't guarantee the privacy or security of your content. Each mode also depends on things we don't control: the providers' own systems and practices, the hardware and attestation behind E2EE, and the security of your device, browser, and sign-in account. Each mode is described as accurately as we can, and we don't promise any particular level of secrecy beyond what the Privacy Policy describes. Third-party providers process your content under their own terms (see section 11).
9. Plans, credits, and payments
- Plans. Paid plans (such as Pro and Max) are subscriptions that renew automatically each month or year until you cancel. You can cancel at any time in the app; cancellation takes effect at the end of the current billing period, and we don't give refunds or credits for partial periods, except where the law requires.
- Credits. Credits are prepaid units for using paid features. They have no cash value, can't be transferred or sold, and are non-refundable, except where the law requires. Credits included with a plan expire at the end of each billing cycle and when the plan ends. Credits you buy separately don't expire while your account is open.
- Prices and taxes. Prices are shown before you pay, plus applicable taxes. We may change prices; changes to a subscription's price apply from your next renewal, after notice.
- Payment processing. Payments are processed by Stripe under its terms. We don't receive your full card number.
- Refunds, disputes, and chargebacks. If a payment is refunded, reversed, or disputed, we may remove the credits or plan benefits it paid for. Your balance can then go below zero, and we may suspend paid features until it's settled.
- Free plan. The free plan has daily limits and may change at any time.
10. Referrals and promotions
Referral rewards, picks, titles, "founding" status and pricing, events, and other promotions are offered at our discretion. They have no cash value, and their terms may change. Referral rewards beyond character picks (such as months of a paid plan, credits, reward characters, and titles) count only friends who subscribe to a paid plan, and a friend counts 14 days after their first payment, if it hasn't been refunded. If you can't use a month of a plan because you already subscribe, you get credits instead. Founding status goes to accounts created in the founding window, which runs until December 1, 2026. We may withhold, reverse, or remove any reward, and suspend the accounts involved, if we believe it was obtained through fake accounts, self-referral, automation, or other abuse.
11. Third-party services
The Service relies on third parties, including AI model providers, our sign-in provider, our payment processor, and search and data services. Their services are governed by their own terms. We choose them with care, but we don't control them, and we're not responsible for their security, their availability, or how they handle your content, including if they fail to keep their own commitments. Some agent tools send queries to third-party services through our server, as the Privacy Policy describes.
12. Our intellectual property
The Service, including its software, design, brand, and our characters and their names, art, stories, and prompts, belongs to us and our licensors and is protected by law. We give you a personal, non-exclusive, non-transferable, revocable license to use the Service under these Terms. You may not copy, extract, or reuse our characters or their prompts outside the Service. Don't use our trademarks without permission.
If you send us feedback, we may use it without owing you anything.
13. Copyright complaints
If you believe something in the Service infringes your copyright, email hello@trymorse.ai. Include the work, where it appears, your contact details, and a statement made under penalty of perjury that you're the owner or authorized to act for the owner. We'll respond as the law requires, and we close the accounts of repeat infringers.
14. Suspension and termination
You can stop using the Service and delete your account at any time in Settings. We may suspend or close your account, or limit features, if we reasonably believe you broke these Terms or the law, if your use creates risk or harm for us or others, or if we're required to. Where reasonable, we'll tell you. When an account is closed, your license ends. Sections that by their nature should survive (such as 4, 5, 9, 12, 15 to 19, 21, and 22) survive.
15. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DON'T WARRANT THAT THE SERVICE OR ANY PRIVACY OR SECURITY MEASURE WILL MEET YOUR NEEDS OR BE FREE OF VULNERABILITIES, OR THAT ANY THIRD-PARTY PROVIDER WILL KEEP ITS COMMITMENTS. Some places don't allow some of these exclusions, so some may not apply to you.
16. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES LOST PROFITS, LOST DATA (INCLUDING CHATS STORED ON YOUR DEVICE), UNAUTHORIZED ACCESS TO YOUR CONTENT OR DATA BY A THIRD PARTY, OR LOSS OF GOODWILL, ARISING FROM THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US$100. These limits don't apply where the law doesn't allow them.
17. Indemnity
To the extent the law allows, you'll defend, indemnify, and hold harmless us and our affiliates, officers, and employees against:
- third-party claims, and the resulting costs (including reasonable legal fees), arising from Your Content (including output generated for you and the characters and personas you make) or your use of the Service; and
- any claims, losses, and costs, including any suspension, fee, or penalty a model provider imposes on us, arising from your breach of these Terms, the law, or a provider's usage policy.
18. Disputes and arbitration
- Talk to us first. Before filing a claim, email hello@trymorse.ai with a description of the dispute and try to resolve it with us for 60 days.
- Binding individual arbitration. If we can't resolve it, you and we agree that any dispute relating to the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration can be held remotely. Either party may instead bring an individual claim in small-claims court, and either party may seek an injunction for misuse of intellectual property.
- No class actions. You and we may bring claims only individually, not as a plaintiff or class member in any class, collective, or representative action, and the arbitrator may not consolidate claims.
- Time limit. To the extent the law allows, any claim relating to the Service or these Terms must be brought within one year after it arises, or it's permanently barred.
- Mass arbitration. If 25 or more similar claims are brought against us, or by us, by the same or coordinated lawyers or organizations, the AAA's Mass Arbitration Supplementary Rules and its mass arbitration fee schedule apply to them, and a process arbitrator appointed under those rules decides how they proceed. Either side may settle any claim at any time.
- Opt out. You can opt out of this section by emailing hello@trymorse.ai within 30 days of first agreeing to these Terms, with your name and the email on your account.
- If any part of this section is found unenforceable for a claim, that claim goes to the courts named in section 19, and the class-action waiver still applies to the extent allowed.
19. Governing law
These Terms are governed by the laws of California and the United States, without regard to conflict-of-law rules. Except as section 18 provides, the exclusive venue for disputes is the state and federal courts in San Francisco County, California, and you and we consent to their jurisdiction. If you're a consumer in a country whose laws give you rights that can't be waived, those rights still apply.
20. Changes to these Terms
We may update these Terms. When we make material changes, we'll update the date above and ask you to agree again in the app before you continue. If you don't agree to the changes, stop using the Service and delete your account.
21. General
These Terms and the Privacy Policy are the entire agreement between us about the Service. If any part is unenforceable, the rest stays in effect. Our not enforcing a term isn't a waiver of it. You can't transfer these Terms without our consent; we can transfer them as part of a merger, acquisition, or sale of assets. We aren't liable for delays caused by events beyond our reasonable control. Notices to you may be sent by email or in the app.
22. The API
These API terms add to the rest of these Terms for anything you do with an API key. Where they conflict, these API terms apply to API use.
- Access. You can create API keys in the app to call the Morse API from your own software. You must be 18 or older to create or use a key.
- Your keys. A key acts for your account, and you're responsible for all use of your keys, including by anyone you share them with or who obtains them from you. Keep keys secret: don't put them in code that runs in a browser or a mobile app, and don't commit them to a repository. If a key may be exposed, revoke it in the app right away. We will never ask you for a key.
- Payment. Every API request is paid from your account's credits at the prices the API lists for each model, whatever plan you're on (see section 9). You're responsible for every request made with your keys, including requests made after a key was exposed and before you revoked it.
- Limits. API use is subject to the rate limits, request limits, and other limits in the API documentation, which may change. Don't try to get around them, for example by spreading requests across several accounts.
- Characters stay in the app. Our characters, their prompts, and Character features are available only in the app. Don't use the API to get or use our characters or their prompts, including by sending a prompt copied from the app (see sections 7 and 12).
- Building for others. If you use the API to power a product or service for other people ("your users"): your users must agree to terms that protect us at least as much as these Terms do and that ban at least the uses in section 7; you're responsible to us for your users' conduct as if it were your own; you must not let anyone under 18 use it; you must follow the laws that apply to what you build, which for a companion or role-play chatbot include laws on disclosure, minors, and responding to users who express thoughts of suicide or self-harm; and you must not say or imply that we endorse your product, or make promises about the API or its privacy on our behalf.
- Prohibited uses. Section 7 applies to API use. In addition, don't sell, resell, sublicense, or share access to the API, your keys, or your credits, or offer the API to others as a service largely unchanged; don't use it to make decisions about people's access to employment, housing, credit, insurance, education, or legal or medical care without meaningful human review; and don't use it where a wrong or missing output could reasonably lead to death, serious injury, or serious damage to property or the environment.
- Privacy. Each model's privacy mode is described in the API documentation and the Privacy Policy. We don't store the content of your API requests or their replies. We keep a billing record of each request: its time, model, token counts, cost, and which of your keys made it.
- Suspension and revocation. We may limit, suspend, or revoke any key, or end your API access, at any time, including when we reasonably believe a key is exposed or misused. When your account is closed, all of its keys stop working at once. Section 9 covers your credits.
- Changes. Models, prices, limits, and endpoints may change. We'll try to give notice of changes that break existing use, but we don't promise to.
- No warranty. Section 15 applies to the API and its output. You're responsible for checking output before you rely on it.
